Grafton International makes another acquisition with advice coming from Dains

Tamworth based distributor Grafton International has made another acquisition in the health and beauty sector with corporate finance advice coming from Dains. The family run company, founded in 1985, manages and distributes a range of top health and beauty brands, including Carmex Moisturising Lip Balm, ORLY, Badger Balm, Kneipp and nailtiques.

Dains acted as lead advisor in addition to undertaking due diligence for Grafton International.

The difference we made

Jenny Moore provided lead advisory services which covered the overall project management, fund raise and review of the legal documents in addition to negotiations with the vendors on specific price affecting issues which occurred. The key was to highlight any issues which may affect valuation and through the work completed Dains saved Grafton International a significant amount in terms of reduced consideration.

Rob Wilson provided due diligence support on the transaction by reviewing the historic financials of the undisclosed target. During the due diligence process, issues were identified and raised with Grafton International immediately in order to start the negotiations with the vendors.

Tax due diligence was also performed by a specialist transaction tax team within Dains.

The entire process was overseen by Roy Farmer, Partner at Dains who maintained a close working relationship with Jon Hardwick meaning that issues were dealt with as soon as identified, allowing the deal to complete in a timely manner.
