The Dains Corporate Finance team has recently advised the shareholders of Automated Materials Handling Life Services Limited (“AMH”), which was previously acquired as part of a management buyout, on the sale to an overseas buyer.

AMH, based in Halesowen, was established in 2015. AMH is a highly successful specialist in designing, building, and maintaining innovative material handling systems for the retail, e-commerce, fashion, third-party logistics, dry grocery, and automotive suppliers markets. Services and systems provided to customers include conveyor systems, sortation systems, e-commerce fulfillment, warehouse automation, maintenance and service, and lifetime services.

Our Role

Dains provided business sale services to the AMH shareholders. These services included an underlying review of the business in advance of the sale process, deal structuring advice, and working capital negotiations together with tax advisory services.

We provided full project management support to the sellers throughout the process including the financial due diligence and legal phases, and worked closely with all parties which allowed for a smooth completion with minimal disruption to the business.
